Holding Company Formation in the UAE

A holding company is used to own and manage other companies, rather than to trade itself. On the UAE mainland, Federal Decree-Law No. 32 of 2021 on Commercial Companies sets specific rules for holding companies in Articles 268 to 272: which companies can be holdings, what they are allowed to do, and how they account for their subsidiaries.

Financial free zones such as DIFC and ADGM offer their own entities that are often used for group structures. This page covers both, based on the Decree-Law and those authorities' published rules.

Please note: group structures have legal and tax consequences. This page is not legal or tax advice; we coordinate setup with your advisers.

What the Law Treats as a Holding Company

TopicRule
Legal formA joint stock company or a limited liability company
What makes it a holdingIt sets up subsidiaries in the UAE or abroad, or controls existing companies through shares or stakes large enough to control management or influence resolutions
NameThe words "holding company" must follow its name on all stationery, notices and documents

An LLC is often the practical choice for a private group. See LLC company formation.

What a Holding Company May Do

Article 269 limits a holding company's objects to:

  • Holding shares or stakes in joint stock companies and limited liability companies.
  • Providing loans, guarantees and finance to its subsidiaries.
  • Acquiring real estate and movable assets for its activities and operations.
  • Managing its subsidiaries.
  • Acquiring intellectual property, such as patents, trademarks, industrial designs and franchise rights, and leasing them to its subsidiaries or other companies.

It may only carry out its activities through its subsidiaries. A holding company that wants to trade directly is using the wrong vehicle.

Subsidiary Rules

RuleDetail
When a company is a subsidiaryThe holding company holds a controlling interest and controls the board's composition, or the company is a subsidiary of a subsidiary
No reverse ownershipA subsidiary may not hold shares in its holding company; any such allotment or transfer is void
Existing cross-holdingsA company that already holds shares in the holding company and then becomes its subsidiary loses its voting rights and must dispose of those shares within 12 months

Accounts and Records

  • Subsidiary records. The holding company must ensure subsidiaries keep adequate accounting records, so its directors can verify the financial statements (Article 270).
  • Consolidated statements. At the end of each financial year the holding company prepares a consolidated balance sheet, profit and loss account and cash flow statement for itself and all its subsidiaries, under internationally accepted accounting and auditing standards (Article 272).

Plan the group's year ends and auditors together, so consolidation is not held up by one late subsidiary.

Holding Companies and ESR

Holding company business was one of the "relevant activities" under the UAE Economic Substance Regulations. Cabinet Decision No. 98 of 2024 cancelled economic substance reporting for financial years ending after 31 December 2022. Earlier years' obligations, information requests and penalties imposed by the FTA still stand. See Economic Substance Regulations.

Tax Registration Across the Group

The FTA requires every juridical person to register for corporate tax, so the holding company and each UAE subsidiary have their own registration obligation and deadline, generally three months from incorporation for new companies. VAT group registration is a separate option for related legal persons that meet the VAT law's conditions. See corporate tax registration and VAT registration.

When a Holding Structure Makes Sense

  • You run several businesses and want each one's liabilities kept in its own company.
  • The group owns intellectual property it wants to hold centrally and license to operating companies, which Article 269 allows.
  • Group finance, guarantees and management are better handled from one entity.
  • You expect to bring in investors at group level or sell one business without disturbing the others.

If you only operate one business, a single company is usually simpler. See corporate structuring.

After the Licence

The licence is the start of the government work, not the end of it

Once the trade licence is issued, the sequence that actually lets you operate begins: the establishment card, the MOHRE and immigration files, your employee quota, then employee visas and work permits. After that it repeats every year — renewals, cancellations when people leave, and licence renewal and amendments.

Companies that would rather not build that function in-house put it on a monthly PRO retainer from AED 700, or use it per transaction. Government fees stay separate and itemised either way.

The first six months after incorporation

  • Establishment card issued through immigration
  • MOHRE file opened and e-signature completed
  • Employee quota checked before hiring
  • Offer letters, work permits and entry permits
  • Medical, Emirates ID and visa stamping
  • Corporate tax and VAT registration where they apply
